Apeiron is the only firm dedicated to the design and execution of corporate spin-outs in the life science space on behalf of parent companies. Apeiron provides the parent company with a fully outsourced solution to the spin-out strategy and implementation process. By doing so, it conserves and focuses parent resources and maximizes the economic and strategic position of the parent in the structure. A key component is the organization of a highly-optimized syndicate of value-added investors and partners for the spin-out.

The Apeiron team has vast experience in all aspects of starting and managing an entrepreneurial company in the life sciences. Apeiron develops and integrates corporate, R&D, organizational and financial strategies to ensure the NewCo maximizes both financial and strategic return on capital deployed. We also have deep experience in recruiting senior management, key board members and advisors that are critical to the growth of the company.
Private Placements
Apeiron assists clients in developing and communicating a differentiated value proposition to the financial community. This frequently involves refining the client’s corporate and R & D strategy, identifying and recruiting board members, managers or advisors, or other pre-financing activities as needed. First, leveraging our relationship network and understanding of the markets involved, we identify potentially synergistic partners for our client Second, we then use both qualitative and quantitative methods to determine the value of the alliance from our client’s and the prospective partner’s perspective. Finally, we design the alliance and its management structure that maximizes chances of success. Utilizing this approach, we shorten the time to achieve a mutually acceptable deal, create a “win-win” environment, and facilitate the successful implementation of the alliances structured.
